BDSA works with companies located throughout the United States who are manufacturers, distributors, and service businesses. BDSA works with the lawyers, accountants, appraisers, banks, and investment groups, among others who are involved in the transaction. BDSA is extremely sensitive to the need for maintaining strict confidentiality and controls are established both internally and externally in order to minimize the dissemination of company information. Flexibility is a key word when selling or financing a company. All or part of a business can be sold, and buy-back provisions can be negotiated. Ongoing management is preferred but not necessary. Buyers include publicly-held companies, investment groups, and non-U.S. firms. Rarely is a company sold to a competitor as that group does not pay the highest value and frequently their interest is for information only. BDSA has maintained effective, long-term relationships with worldwide financing sources of both equity and debt. Many of these aggressive providers of financing are not limited by traditional formulas but are influenced by the potential of the client. Accordingly, we frequently structure transactions with over advances, or "air balls," resulting in the lenders loaning an amount above the level based on applying their pre-established formulas. The equity groups are not skittish these days due to the .com debacle because they were not burned. All of the institutional groups face pressure from their limited partners to invest and are looking for the right deals.
